Terms and Conditions
Order Points:
- Orders may be sent to Abbott Laboratories, Limited (Abbott) addressed to
the Company’s Order Desk.
- To facilitate the processing of your order, please clearly indicate your
customer account number, list number, size codes and purchase order if
applicable.
- Controlled drugs or narcotics must be ordered separately and forwarded to
your Regional Narcotic Distribution Centre.
- N.B.: Controlled Drugs or Narcotics must be ordered on a separate endorsed
script or order form and forwarded to your REGIONAL NARCOTIC DISTRIBUTION
CENTRE.
- When a customer receives FROZEN shipments of Controlled Drugs and/or
Narcotics, he must immediately advise the Servicing Regional Distribution
Centre.
Acceptance of Orders: All orders are subject to acceptance by Abbott
at its head office.
Terms:
- Pharmaceutical Products: Retail - 1% 15 days net 30, Hospital - Net 30
- Nutritional Products: Retail - 2% 10 days net 45, Hospital – Net 30
- Diagnostic Products: Net 30
Prices and Quotations: All prices and quotations are prepared without
obligation and are subject to change without notice by Abbott.
Applicable Taxes: Some products are Federal Goods and Services Tax
extra and may be subject to Provincial Sales Tax.
Liability: Abbott cannot be held liable for any failure to fulfill
any contract or supply any materials due to labour disputes, fires, explosions,
floods, riots, lock-outs, injunctions, interruptions of transportation,
unavoidable accidents, inabilities to obtain supplies at reasonable prices, or
other causes beyond its control.
Minimum Order Policy: All orders will be processed with
transportation costs prepaid in accordance with Delivery Charge Policy
below:
- Abbott assumes shipping charges on orders that meet the minimum
requirements:
- $300 net or more for hospital and nursing home accounts, using the seller’s
choice of carrier
- $5,000 net or more for Wholesale or Retail customers
- If a customer requests a more expensive method of transportation,
additional transportation costs will be assumed by the purchaser.
Emergency Shipments: When a customer requires a shipment of
merchandise urgently and informs Abbott by telephone or other emergency means,
then the cost of emergency freight transportation will be assumed by the
purchaser.
Merchandise Lost or Damaged in Transit: If a shipment arrives on the
customer’s premise with merchandise damaged, including frozen shipments or
missing, the extent of damage and/or shortage must be noted on the delivery
receipt by the receiver and countersigned by the representative of the
transport company.
In the event that the damage and/or shortage is discovered after delivery,
the customer should immediately advise Abbott Order Desk. Abbott will contact
the transportation company to effect an inspection and issue a report to
validate the claim. The customer must forward all supporting documents to
Abbott Laboratories, Limited, P.O. Box 6150, Station Centre-Ville, Montréal,
Québec, H3C 3K6, Attention: Traffic Department.
Expiration Dates: For the convenience of its customers, Abbott
provides a printed date of expiration where required on its products. These
printed expiration dates greatly facilitate the supervision of product units in
the customer’s stocks and, when used as a guide, assure the provision of
satisfactory preparations at all times.
Returns and Credits: It is the policy of Abbott to provide an
equitable adjustment to the customer whenever errors have been made in kind and
quantity of products shipped, however, in providing this adjustment, it is
necessary to follow certain conditions:
THE FOLLOWING CLASSES OF MERCHANDISE CANNOT BE RETURNED FOR CREDIT:
- Those products which are not purchased directly from Abbott (please return
to your original point of purchase);
- Private or special formulation preparations;
- Any non-expired preparation or product;
- Preparations which have their labels removed;
- Preparations which have deteriorated because of their inherent
characteristics;
- Preparations which have deteriorated because of abuse, improper handling
and/or storage;
- Preparations which have been involved in a sacrifice or bankruptcy
sale;
- Preparations which have been damaged by fire, water, smoke, earthquake or
other acts of God;
- Preparations which have been damaged due to exposure to abnormal
temperatures or improper storage;
- Goods obtained via diverted or other means, including products imported
from outside Canada;
- Returns with a total value of less than $25.00.
- Any Refrigerated product.
NON-ELIGIBLE ITEMS: The following merchandise is sold on a non-returnable
basis: Synthroid® Injection, Isoptin® I.V., Hydrasorb®, Survanta®, Norvir®
capsules, Kaletra* capsules and oral solution, Humira® and Synagis®.
Preparations offered for sale by Abbott other than those described above may
be returned for adjustment, subject to the following conditions:
- Before returning any regular merchandise purchased directly from Abbott,
arrangements must be made with Abbott Order Desk who can immediately provide
you with the estimated value of your eligible returns and the return procedure;
all products not purchased directly from Abbott should be returned to the
original point of purchase.
- Special classes of preparations, such as Narcotics and/or Controlled Drugs,
must be processed separately and according to the procedures established by
Abbott or regulatory agencies. The customer must obtain written approval signed
by the Drug Officer from the servicing Regional Distribution Centre before
returning.
When merchandise manufactured by Abbott is authorized for return and
accepted for evaluation, the following criteria are applied in order to
determine the adjustments to be made:
- All merchandise returned to Abbott is subject to the Company’s valuation,
without recourse;
- Abbott reserves the right to destroy any preparation or product which it
deems unfit or unsafe for sale;
- Credit will be given up to 6 months after the printed expiration date;
- Credit for all direct purchases will be based on original acquisition cost
from Abbott;
- Expired part bottles in their original containers will be credited to the
nearest quarter bottle;
- All products returned due to a contract conversion to a competitive product
are not eligible;
- 30 Day Grace Period: 100% credit on all goods returned within 30 days of
original shipping date, regardless of reason.
Guarantee: Every product or preparation manufactured by Abbott and
offered for sale in Canada has been formulated, processed and packaged to meet
the exacting standards of the Company and to comply with the official
compendial and regulatory requirements, where they apply. It is the intention
of Abbott to provide to the customer, whenever possible, all essential,
pertinent information concerning every product offered for sale by the
Company.
Every inquiry concerning formulation, safety, purity, stability, and dosage
of the Company’s products will be replied to promptly. It should be understood
that the information provided in these pages is limited and is intended only as
an aid. Prescribing information, provided in package inserts or made available
by Abbott, is offered for consideration by those persons who are specialists in
the medical sciences. They are competent to judge from diagnosis and in the
light of the circumstances of the case, whether any of these products or
preparations should be administered and, if administered, how and in what
dosage they should be given, for the benefit of the patient**.
In as much as, in these circumstances, the Company has no direct control
over the use of the product, no positive guarantee can be provided concerning
the effect of the product on the patient.
The guarantee of Abbott, as a pharmaceutical manufacturer, resides in the
assurance to the customer of the identity, safety, potency, purity, and
stability of the ingredients used, the skill, experience, and care devoted to
preparation and the final pharmaceutical quality of the products offered for
sale.
Prohibition Against Export: Abbott products ("Products") are
approved by Health Canada for sale and resale in Canada only and are NOT FOR
EXPORT. A purchaser of Products agrees that it will not, directly or indirectly
(i) export Products out of Canada to any other jurisdiction, or (ii) sell,
distribute or otherwise dispose of Products to any person which it knows,
suspects or has reasonable grounds for knowing or suspecting will export
Products out of Canada to any other jurisdiction. In any other case, a
purchaser of Products will not sell, distribute or otherwise dispose of
Products to any person without first requiring such person to agree to be bound
by the terms and conditions of this clause prohibiting export. A purchaser of
Products shall provide to Abbott such information, records or documents as it
may request from time to time, acting reasonably, to confirm that the purchaser
has complied with the requirements of this clause. The purchaser acknowledges
and agrees that if it fails to comply, or Abbott has reasonable grounds for
believing that the purchaser has failed to comply, with such requirements,
Abbott may, in its sole discretion, reject any order for Products, either in
whole or in part, from such purchaser or seek other legal remedies, including,
without limitation, damages.
Wholesaler Reporting: As a condition for the continued receipt by any
wholesaler or distributor of Abbott products in Canada, every wholesaler or
distributor shall both (i) report all of its sales of Abbott products
(including historical sales) to Abbott or to any third party designated by
Abbott; and (ii) consent to the reporting to Abbott of this sales information
by any such third party designee. Such wholesaler or distributor shall provide
this sales information to Abbott or to the Abbott designee in a format and at
such intervals as specified by Abbott or by Abbott's designee in writing from
time to time. Any such sales information received by Abbott or its designee
shall be held in confidence and used solely by Abbott for the management of its
trade terms and sales policies in compliance with all applicable laws.
Integrity of Abbott Products: The safety and integrity of Abbott
products are of the highest priority to us and we are deeply concerned about
counterfeits.
In order to ensure the safety and integrity of our products for patients and
consumers, Abbott wholesalers and distributors must comply with the
following:
- Abbott wholesalers and distributors shall not source from any entity other
than Abbott Laboratories, Limited or its authorized suppliers any products
bearing Abbott’s name or trademarks. They shall purchase such products solely
from Abbott Laboratories, Limited and/or from suppliers duly authorized by
Abbott Laboratories, Limited to source products bearing Abbott’s name or
trademark.
- Abbott wholesalers and distributors shall purchase such products solely for
resale in their country to end users who are patients or consumers, or to
customers who are licensed by the territory in which they operate for their own
use in the provision of health care to their patients or for distribution to
their own consumer customers.
- For the purpose of ensuring compliance with the terms of this agreement,
Abbott wholesalers and distributors shall provide or cause to be provided,
within thirty (30) days after written request by Abbott as elected by Abbott,
(i) a certification of compliance from a senior officer or executive with
financial oversight responsibility for their company or (ii) the opportunity
for an audit of the books and records of their company relating to purchases
and sales of Abbott products.
- Abbott shall have the right to cease shipments to Abbott wholesalers and
distributors if Abbott, in good faith, believes they may have not complied with
the terms and conditions of this agreement, after being given reasonable
notice.
ABBOTT RESERVES THE RIGHT TO CHANGE THESE POLICIES AT ANY TIME.
